Small Business Grant

No Purchase Necessary 

1.   Spoonflower.  The Spoonflower Small Business Grant (“Grant Program”), presented by Spoonflower, Inc. (“Spoonflower”), 3871 S. Alston Avenue, Suite 176, Durham, NC, 27713. 

2.   Eligibility. Grant Program is open only to persons who are 18 years of age or older as of the application deadline. You must have, or plan to launch, a creative small business in 2023. Previous recipients of the grant and non-profit businesses are ineligible. Employees, officers, directors and representatives of Spoonflower, as well as immediate family members (spouse and parents, siblings and children and their spouses) and persons living in the same households of each of the above are ineligible to participate. Former employees who have worked for Spoonflower within the last 2 years are also ineligible. 

3.   Territories. The competition and its rules are void where prohibited by law. All federal, state, provincial and/or local laws apply. This Grant Program is open to residents of any country, with the exception of residents of Belarus, Cuba, Iran, North Korea, Sudan, Myanmar/Burma, Russia, Syria, Zimbabwe and/or any other country with U.S. sanctions in place. 

4.   Timeline. The spring deadline for applications is March 1, 2023 at 11:59 p.m. Eastern Time and the fall deadline for applications is August 15, 2023 at 11:59 p.m. Eastern Time. 

5.  General Conditions. By participating in this Grant Program, each entrant agrees to be bound by these Official Rules and the decisions of Spoonflower, which are final and binding in all respects and cannot be appealed. By entering, each entrant agrees and acknowledges that Spoonflower, and each of its respective parent companies, affiliates, divisions, subsidiaries, and advertising and marketing agencies, and each of their respective employees, officers, shareholders, directors, representatives and agents (collectively, “Released Parties”) are not responsible for and shall not be liable for: (i) late, lost, delayed, misdirected, incomplete, unreadable, inaccurate, garbled or unintelligible entries; (ii) telephone system, facsimile, technical or computer malfunctions, lost connections or transmissions, disconnections or other errors of any kind whether mechanical, human, electronic or otherwise relating to or in connection with the Grant Program, including, without limitation, errors which may occur in connection with the administration of the Grant Program or the processing of entries; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses, costs, expenses or damages to person or property of any kind caused, in whole or part, directly or indirectly, by the prize or resulting from redemption, acceptance, possession, loss or use or misuse of any prize or from participating in the Grant Program or any Grant Program related activity; (v) inability to participate in the Grant Program; or (vi) any printing, typographical, human, administrative or technological errors in any material associated with the Grant Program. No more than the number of prizes stated in these Official Rules will be awarded. Spoonflower reserves the right, in its sole discretion, to modify, cancel or suspend this Grant Program (or any portion of the Grant Program) should an error or a virus, bug, computer problem or other cause or problem corrupt or inhibit the administration, security or proper operation of the Grant Program and, in such situation, to select the winner from the remaining eligible non-suspect entries received prior to and/or after such action or in such manner as deemed fair and appropriate by Spoonflower in its sole discretion. In the event that Grant Program is modified, cancelled or suspended, notification of such event will be posted at https://try.spoonflower.com/promos/. Spoonflower may prohibit an entrant from participating in the Grant Program or winning a prize if, in its sole discretion, Spoonflower determines entrant is attempting to undermine the legitimate operation of the Grant Program by cheating, hacking, deception, or other unfair practices or intending to annoy, abuse, threaten or harass any other entrant or any representative of Spoonflower. Any attempt by a person to deliberately damage any website or undermine the legitimate operation of the Grant Program is a violation of criminal and civil laws and should such an attempt be made, Spoonflower reserves the right to seek damages from any such person to the fullest extent of the law. Spoonflower has not made and/or is not responsible for any misrepresentation or guarantee, express or implied, in fact or in law, relative to the prizes. 

6.   How to Enter: No purchase necessary to enter and win. To be eligible to win, all entrants must complete and submit the entire application form, along with supporting materials, by the above-stated deadlines. All of the application materials you submit will be shared with the selection panel, which includes former Grant Program winners. 7. Ownership of Submitted Designs and Products. By submitting your application, you represent and warrant that you are the owner of the content which you submit (including any featured products) and that the content and/or product does not infringe upon the property rights, intellectual property rights (e.g. copyrights and trademarks) or other rights of others. You also represent that there are no outstanding disputes in connection with the property rights, intellectual property rights or other rights in the content or product, or in any parts thereof. 

8.   Selection of Winners. Winners will be selected by a panel of former Grant Program winners from all eligible entries received. Winners will be chosen based on uniqueness of product, distinctive point of view, and relevancy to Spoonflower product categories and business goals.  Spoonflower will contact winners by email on or before April 1, 2023 in the spring and September 15, 2023 in the fall. In order to claim their prize, winners are required to submit a completed Small Business Grant Acceptance and Agreement within ten (10) days from notification. If a prize is not claimed within that time frame, Spoonflower will select an alternative winner. 

9.   Grant value. Spoonflower will choose a minimum of 12 total winners distributed as follows: 

  • At least 10 first prize winners will each receive $1,000 in Spoondollars. Spoonflower reserves the right to add additional items to the prize packages. 

  • At least 1 runner-up will each receive $500 in Spoondollars. 

  • At least 1 honorable mention will receive $250 in Spoondollars. 

Spoondollars are calculated in United States Dollars (USD), can be used to purchase any item that Spoonflower sells, and do not expire.  No substitution, exchange or transfer of prize by any winner is permitted. Spoonflower reserves the right to substitute a prize for one of equal or greater value. Each winner is responsible for all taxes and fees associated with prize receipt and/or use. For United States residents, Spoonflower will report to applicable tax authorities all prizes that exceed $600.  Limit: 1 prize per winner. 

  • Up to $1000 Spoonflower Gift Certificate with an approximate value of $1000 

10.   Right of Publicity. By accepting a prize, winners agree and acknowledge that Spoonflower and any of its designees may, without any limitation or further compensation, use his or her name, biographical data and/or likeness in any and all media now known or hereinafter devised, throughout the universe and in perpetuity, for any commercial purpose including, but not limited to, advertising and promoting the Grant Program or any other program, contest or program sponsored by one or both of Spoonflower, except where prohibited by law. Winners also agree by accepting a prize that Spoonflower may use any photos published on the winner’s social media, blog, or website that contain Spoonflower products purchased with the Spoondollars awarded to winners in the Grant Program.  

11. Limitations of liability. Spoonflower disclaims any liability for damage to any computer system related to participating in, or accessing or downloading information in connection with the Grant Program. Except where prohibited by law and to the extent that the negative consequences described below are the foreseeable result of matters within the Released Parties’ reasonable control and are the direct consequence of negligence or default by any of them, the Released Parties are not responsible for any incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access the Spoonflower website, for the inability to upload or download any Competition-related materials from Spoonflower, or for late, lost, damaged, misdirected, delayed, garbled, incorrect inaccurate, stolen, damaged, or incomplete Entries or votes.   

12.   Applicable Law. By entering the Grant Program, each entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Grant Program, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering the Grant Program, but in no event will attorneys’ fees be awarded or recoverable; and (3) under no circumstances will any entrant be permitted to obtain any award for, and each entrant hereby knowingly and expressly waives all rights to seek, punitive, incidental or consequential damages and/or any other damages, other than actual out of pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. All issues concerning the construction, validity and enforcement of these Official Rules, or the rights and obligations of the entrant and Spoonflower, shall be construed and governed by the laws of the state of North Carolina, without regard to conflicts of law. All suits or claims brought in connection with this Grant Program must be brought in a state or federal court in North Carolina.  This contest is governed in accordance with Spoonflower’s Terms of Service; in the event of a conflict between these Terms and Spoonflower’s Terms of Service, these Terms shall prevail.  

13.    Privacy. Entrant’s Personal Information. Information collected from entrants is subject to Spoonflower’s Privacy Policy (http://www.spoonflower.com/privacy). 

14.Winners List. For the names of all prize winners, available after April 30, 2023 for the spring contest and October 15, 2023 for the fall contest, contact Spoonflower and specify “Small Business Grant Winners List Request”.
